• Client violates these Terms or applicable contract
• Client fails to pay fees when due
• Client engages in fraudulent or illegal activity
• Continuation of services would violate laws or regulations

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

10.2 Dispute Resolution

Before pursuing legal action, parties agree to:

1. Informal Negotiation: Attempt to resolve disputes through good-faith negotiation for 30 days
2. Mediation: If negotiation fails, attempt mediation with a mutually agreed mediator
3. Arbitration or Litigation: If mediation fails, proceed with arbitration or litigation as specified in individual contracts
